Essential Functions:

  • Develop a dynamic legal strategy and infrastructure to support both current and future corporate objectives as the business evolves.
  • Provide leadership on cross-functional teams, identifying legal issues, providing legal options and analysis of possible legal solutions. Provide recommendations to executives for addressing critical issues so that business and legal objectives are met.
  • Advise on the interpretation of legal documents and applicable laws and regulations in a manner that provides executives with practical legal advice while properly managing risk to the organization.
  • Draft, review, negotiate and interpret a wide range of general corporate and commercial agreements.
  • IP portfolio management including US and foreign patent prosecution and patentability, freedom-to-operate and invention disclosure.
  • Draft, negotiate and review IP agreements including nondisclosure, research, license and other agreements involving the use, transfer, or ownership of intellectual property.
  • Counsel Research and Management colleagues with regard to patent portfolio and strategy.
  • Provide support for business development, including for in-licensing and acquisitions.
  • Advise the company on employment matters.
  • Keep apprised of new laws, regulations, and industry trends affecting the organization, and assist with development of policies and training as needed.
  • Optimize outside counsel work so that it is timely and cost-effective. Work creatively with outside counsel on budgetary issues (including preparation and management of budgets and forecasts) to minimize fees and costs to resolve issues effectively.


Requirements:

  • 15+ years experience in legal practice, with a combination of large law firm and in-house experience.
  • Experience working as in-house counsel in the biotechnology/pharmaceutical industry responsible for providing legal advice on a broad set of general corporate matters to both public and private enterprises.
  • J.D. from an accredited law school.
  • A life sciences degree is strongly preferred.
  • Ability and desire to roll up one’s sleeves and do the work as well as handle the big picture strategic and functional matters.
