Legal Counsel - Netherlands

Our client, a provider of leading edge RPA software solutions that enable their enterprise customers to automate their business processes, is looking for a licensing attorney with M&A experience to be based in the Netherlands. You will support our client’s EU sales transactions and will work closely with and provide advice to the EU sales team based in the UK. Director of Compliance – VC Firm, San Francisco Bay Area

The successful candidate will support the compliance and operations functions and other areas of the firm as needed. Responsibilities include:

  • Manage the administration of the firm’s compliance program, including reporting requirements, training, annual reviews, and testing.
  • Review investor subscription, redemption, and transfer documents for AML/KYC, new issues eligibility, ERISA, and FATCA compliance. Direct the fund administrator’s related correspondence to investors.
  • Review and update the fund constituent documents, service provider contracts, employment, and other legal agreements.
  • Support some general corporate activities as needed.

This attorney will possess at least four years of legal experience and knowledge of the Investment Company Act, the Investment Advisers Act, and related federal and state securities laws. In addition, s/he will have experience and familiarity handling special compliance and regulatory matters in the investment management industry. Prior experience with an SEC-Registered investment adviser and strong understanding of the operations of a long/short equity strategy is a plus.
