Our client, a publicly traded medical device company has exclusively retained Solutus Legal to assist in hiring a Corporate Paralegal for its growing legal team. The company is a pioneer in developing new technology to treat heart disease.  This role will report to the Associate General Counsel and will provide close interaction with the board, company executives, the legal team, and a variety of business units.

  • Responsibilities include:
  • Prepare, review and submit public company filings, including Section 16 filings and managing related 10b5-1 trading plans
  • Provide coordination of annual shareholder meetings, including proxy materials, voting procedures, meeting preparations, and agenda, as well as communicating and managing information to stock transfer agent, proxy solicitor, printer, brokers, stock exchanges and others
  • Assist with Board of Directors and Committee meetings and record keeping, including maintaining the minute books, preparation of meeting materials and managing the board portal.
  • Oversee and maintain global subsidiaries, including maintaining database, corporate records and filing calendar, completing domestic and international periodic filings, conducting subsidiary board meetings, managing corporate reorganization projects, and facilitating changes in organizational documents and subsidiary D&O slates (including notary and apostille requirements)
  • Assist with legal budgeting and legal spend; track and monitor outside counsel invoices.
  • Assist the legal and finance teams on M&A transactions, audit requests, corporate venture investments and other transactions (virtual data rooms, due diligence requests, etc.).
  • Conduct legal research as needed.
  • Assist with other projects as assigned.

The ideal candidate will possess:

  • A bachelor’s degree from an accredited school.
  • A minimum of five years paralegal experience; prior public company in-house experience preferred.
  • Notary credentials or a willingness to obtain and maintain notary credentials.
  • Excellent judgment, work-ethic, attention to detail, and organizational, communication and project-management skills.
  • Experience with Microsoft Office Suite, Adobe Acrobat Pro, Boardvantage (or other board portal) and DocuSign.
