Our client, a privately held, multinational technology company with over $1B in annual revenues and 7000 employees, has exclusively engaged Solutus to assist the company in its desire to add a Managing Commercial Counsel to its world-class legal department.  This attorney will be responsible for:

  • creation and promulgation of policies and best practices related to the company’s global contracting activities;
  • management of a small team of legal professionals who support the drafting, review, negotiation, and execution of contracts, including creation and management of contract templates; and
  • direct review and negotiation of the company’s most strategic contractual engagements.

This is a leadership position within the company, reporting to the Chief Legal Officer, and involves frequent collaboration with senior leadership of sales, procurement, and other internal functions.  The successful candidate must have deep experience in negotiating complex technology and commercial agreements, be well-organized and detail-oriented, with a proven ability to draft agreements from scratch, and handle multiple and complex matters simultaneously and independently without supervision.  You will be part of an international team of in-house lawyers.

What You Will Do

  • Be a part of and manage a lean global team of legal professionals to support all legal aspects of commercial activities of the business units, including the drafting, review, negotiation, execution, and archiving of all contracts worldwide.
  • Manage the commercial legal team’s workload, set goals, with realistic as well as ambitious deadlines in keeping with demands of the business environment.
  • Mentor and develop the commercial legal team.
  • Define and promulgate contracting policies and procedures.
  • Implement continuous improvement of forms, policies, and processes to help streamline, simplify, and potentially automate relevant contracting processes.
  • Develop and drive comprehensive, long-term legal strategies that balance risk and business objectives, creating efficiencies in sales channel and procurement processes.
  • Collaborate with attorneys who cover areas such as privacy, regulatory, IP, and litigation.
  • Support the CLO and participate with legal leadership team to undertake departmental projects and innovations in legal department operations as needed.

What You Will Bring (REQUIRED Qualifications)

  • 8+ years of in-house and large law firm(s) transactional legal experience, including commercial and transaction counseling experience on behalf of technology (preferably hardware) companies.
  • 3+ years of experience building and/or managing diverse teams of legal professionals.
  • Juris Doctorate from a U.S. accredited law school and eligible to practice law in-house in your state of residence.
  • Commanding understanding of mechanics of warranties, indemnities, and limitations of liability and working familiarity with data protection, privacy, export control, and IP issues and concerns in the context of technology and commercial transactions.
  • Effective organizational skills and the ability to manage multiple projects simultaneously and complete them on time.
  • Strong personal integrity and ethics in business conduct.
  • Strong written and verbal communication skills.
  • Team-oriented and collaborative; ability to form quality working relationships with other employees and business partners.
