Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring a sophisticated attorney to serve as Assistant General Counsel, Corporate Securities.  The role is based in the Company’s US headquarters just outside of Philadelphia in Radnor, Pennsylvania.  This is an excellent opportunity to see a thriving company through an initial public offering and to advise the board, senior leaders, and other internal partners on all aspects of the business through a public company lens. This role reports to the Executive Vice President & General Counsel.  The Company has a 5-day per week in-office policy, with occasional flexibility on Fridays.

The ideal candidate will have at least 7 years of corporate securities, governance, and IPO experience.  The successful candidate must possess excellent strategic, organizational, and presentation skills as well as business acumen and the ability to work collaboratively with members of the legal team and other cross-functional teams.  Excellent academic credentials and top law firm experience are strongly preferred.

Responsibilities: 

  • Have an in-depth understanding of the company’s global business, its risks and opportunities, and advise the company and senior leadership regarding the same on a regular basis.
  • Play a key role in IPO readiness and shepherding the company through its IPO.
  • Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s and Section 16 filings, and ensure compliance with SEC rules and regulations.
  • Advise on and own policies and procedures relating to securities law compliance and disclosure matters, including the administration of the company’s Insider Trading Policy.
  • Advise and support corporate governance policies and matters, including reviewing/preparing Board and Committee agendas and materials, ensuring compliance with policies and charter documents, and drafting minutes.
  • Partner with the Investor Relations team on investor engagement activities, and Annual Meeting.
  • Review external communications, including press releases, investor presentations, and other announcements, and significant internal communications.
  • Advise partner teams on external governance trends and SEC developments, in an evolving regulatory landscape.
  • Lead and support other corporate-related projects, such as financing transactions.
  • Work closely with internal audit, SOX, security and compliance teams and advise on public company compliance matters.
  • Work with the HR team advising on executive compensation practices, including senior management and executive agreements, stock plan administration, incentive bonus plans and programs, severance plans and guidelines, and any related public company disclosure considerations.  

Qualifications: 

  • Strong academic credentials and admission to a state bar.
  • 7+ years of experience, preferably from a top law firm.
  • In-depth knowledge of corporate and securities law and regulations.
  • Extensive background with public company reporting.
  • Experience in a fast-paced company, with a history of advising in real-time in meetings, including to the C-suite, providing accurate guidance, and pragmatic solutions.
  • Excellent collaboration skills with the ability to build relationships across teams.
  • Experience working with boards, HR teams, IR, and finance teams.
  • Understand accounting and corporate finance.
  • Effective communicator with executive presence — verbally and in writing.
  • Commitment to the Company’s vision and mission.
