Our client is a cutting edge, InsureTech start-up, passionate about bringing accessible and affordable health plans to small and medium size businesses.

The executives have exclusively retained Solutus Legal to assist in their search for a legal executive to serve as Head of Legal. Reporting to the COO, this attorney will spearhead a variety of legal needs for this growing company. The person in the role will be an integral member of the cross-functional leadership team and will have dotted line reporting responsibilities to the CEO and the Board of Directors.

The successful candidate will be a self-starter and problem-solver who enjoys working in a dynamic, fast-paced and collaborative environment, and who welcomes the challenge of tackling the variety of strategic legal issues that arise on a day-to-day basis. As a team of one initially, this person will need to prioritize effectively while putting scalable systems and processes in place. The ideal candidate will look at the role of legal in a startup as an enabler of business strategy and a lens to assess the risk and reward. This person will join a talented, experienced team and be a part of building something from the ground up, helping with corporate initiatives like fundraising and board meetings as well as weighing in on any company initiative that has significant regulatory or legal concerns associated with it.

What you’ll be doing:

  • Setting the overall strategy, scope, process, and day-to-day responsibilities for the legal function and facilitating all legal matters.
  • Supporting the CEO and Finance team in fundraising efforts and other corporate development initiatives.
  • Managing corporate governance matters, including Board materials, consents, minutes, and associated processes and policies.
  • Supporting the executive team on legal aspects of opportunities or business issues across Operations, Product, Finance, People, Sales, Engineering, InfoSec, and Marketing.
  • Drafting, reviewing, negotiating, and/or offering guidance on a wide variety of legal matters, including but not limited to contract law, state/federal compliance issues, data/privacy regulations, intellectual property, risk assessments, and other HR, employment, or corporate matters.
  • Providing legal expertise on company-wide initiatives, which may require legal research and advice related to various parts of emerging legislation and regulation, and helping the company to stay ahead of relevant developments.
  • Managing internal documentation, templates, and processes to enable business owners to self-service for transactional legal matters, such as NDAs, BAAs, forms, contract reviews, and other high-volume legal tasks.
  • Representing the company directly and/or manage outside legal counsel in regulatory enforcement, litigation, and contract negotiations as needed.
  • Coordinating and managing the working relationship with outside legal counsel.

The ideal candidate profile

  • 6+ years of experience in a law firm and/or in-house.
  • JD from an ABA accredited law school.
  • Experience working in a start-up environment in the healthcare, health insurance, digital health, ERISA, and/or benefits space is preferred.
  • Desire to work in an entrepreneurial, fast-paced, remote work environment and provide leadership and counsel as the company continues to scale.
  • Strong verbal and written communication skills, including communicating complex legal and regulatory considerations to the broader executive team.
  • Excellent judgment and integrity.
  • Values-oriented.
  • Gritty. The person in this role will be willing to roll up their sleeves and work hard when necessary.
  • Comfortable with change. As Head of Legal for a start-up, the person in this role will need to be willing to handle matters outside of the traditional job description.

Compensation is competitive and includes equity.

Our cash compensation amount for this role is targeted at $204,000 to $276,000 per year for all US-based remote locations. Final offer amounts are determined by multiple factors including candidate experience and expertise and may vary from the amounts listed above.
